1. Acceptance of Terms

By accessing or using ReviewManager ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

2. Service Description

ReviewManager provides AI-powered review monitoring and response generation for Google Business profiles. Our platform drafts responses to customer reviews, which you must review and explicitly approve before they are posted to your connected profiles.

3. Free Trial

We offer a 14-day free trial. No credit card is required to start. After the 14-day period, a paid subscription is required to continue using the Service.

4. Payment & Billing

  • Basic plan: $49/month
  • Pro plan: $89/month
  • Subscriptions are billed monthly. You may cancel anytime from your dashboard.
  • We do not offer refunds or credits for partial months of service or unused time.

5. Your Responsibilities

By using ReviewManager, you agree that:

  • You own or have explicit, legally binding permission to manage the Google Business profiles you connect to the Service.
  • You are solely responsible for reviewing, editing, and approving all AI-generated responses before they are published.
  • You will strictly comply with Google's Terms of Service and any applicable local, state, or federal laws regarding customer communication and data privacy.

6. Third-Party Services & API Reliance

ReviewManager relies on the Google Business Profile API to function. We do not control Google or its services. We are not liable for any downtime, loss of functionality, or data discrepancies caused by Google outages, changes to their API rules, modifications to their Terms of Service, or the revocation of your access by Google.

7. Artificial Intelligence Disclaimer

ReviewManager utilizes artificial intelligence to generate draft responses. AI is an automated tool and can occasionally produce inaccurate, inappropriate, or nonsensical text. The Service is provided to assist you, not replace your judgment. You assume 100% liability for any content you approve and publish through our platform. ReviewManager is not responsible for any reputational damage, lost revenue, or legal claims arising from published responses.

8. Intellectual Property

Our IP: We retain all right, title, and interest in ReviewManager, including the software, code, UI/UX, and underlying technology.

Your IP: You retain all ownership rights to your original customer reviews, business data, and the final, published responses.

9. Limitation of Liability

We provide the Service strictly on an "as is" and "as available" basis. While we strive for 99.9% uptime and helpful AI generation, we make no warranties, express or implied, regarding the reliability, accuracy, or availability of the Service. In no event shall ReviewManager be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Service.

10. Indemnification

You agree to indemnify, defend, and hold harmless ReviewManager and its operators from any claims, damages, liabilities, costs, or legal fees arising from your use of the Service, your violation of these Terms, your violation of Google's Terms of Service, or your infringement of any third-party rights.

11. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Idaho. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Boise, Idaho, and you hereby consent to the personal jurisdiction and venue therein.

12. Privacy & Data Security

We take your data security seriously. Your use of the Service is also governed by our Privacy Policy, which details how we collect, use, and protect your information, including data passed to our AI providers and OAuth token management.

13. Termination

You may cancel your subscription at any time. Upon cancellation, we will retain your account data for 30 days to allow for reactivation. After 30 days, your connected data and unposted drafts will be permanently deleted from our servers. We reserve the right to suspend or terminate your account at any time for violating these Terms.

14. Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of any material changes via the email address associated with your account or through an in-app notification. Continued use of the Service after changes are published constitutes your acceptance of the updated terms.
